Director of existing company acceptable

I have open a company on the last week of May 2014.
My friend want to apply for Tier 1 (Entrepreneur) .As per new rules the company must be registered before 24th June( if i am right) .I have remove myelf and put hi name as director and 100% shareholder in the first week of June 2014 before these changes came into force.

Can he apply on the basis of being a director and shareholder of company which was initially my name???
