ICT Tier 2 Long Term & Cooling Off

Hi,
I have got my CoS and would be applying for ICT Long Term visa after mid Feb 2013 as I guess cooling off period is applicable for me.

Earlier I had traveled to UK on ICT tier 2 post 6th April 2011 and returned on 14th Jan 2012.

Please let me know if I am correctly covering cooling off period and then applying for visa?

Also, does trip on Business visa to UK are counted under this 12 month period?
