ILR for Sole Representative

Dear Member,

My Manager is under Sole Rep. visa in UK and is going to complete his 5 years in December 2011. There are couple things to have your comments on:

1. Apart from Sole Rep. status, he is also appointed Director of the company with no shares interest in the company.

2. He has 3 penalty points on his UK License given in the end of 2009 for using mobile phone while driving. He paid the fine of 173 GBP following an unattended court summon to defend this. The case was closed after fine was paid and points were given.

Would you please guide does the above two situations may hinders my managers chances to get ILR??

Can anyone please quote whether an application get affected if there are 3 points on the License of main applicant. The points were given by court along with a fine of 173 GBP. Case was decided in the absence of main applicant.
