Well, whether or not you have an expired passport doesn't change the fact that you are an Italian citizen, so, no, you are not illegally in the UK. This does not make the Home Office's position any clearer I'm afraid. In true Home Office tradition this email does not actually answer the question at hand: "Can a working holiday maker be a director of a limited company". There are only two possible answers, yes or no.

Many people don't have the original passport on which they entered the UK, especially if it was some time ago, so don't get too hung up about it if you don't have it. I did it myself just after I became a British citizen. I had to travel overseas urgently but there wasn't enough time for me to obtain my British passport. On my return not a word was said to me.

It's bit interesting that all the countries which has an established (similar to) HSMP program (eg. UK, Canada, Australia, New Zealand) are all English speaking! Congratulations, £950 well spent if you ask me! I don't understand why some people are willing to endure weeks and even months of uncertainty with ILR postal applications, plus the very real risk of your documents being lost in the post, just to save a few bucks!
