5 year rule on Tier 2 ICT

hi, I have been working in UK for last 3 years on tier 2 ICT.

My first ICT was issues in April 2009(first travel on July 2009).I travelled on that ICT only on few occasions between 2009 and 2010.
I have been in UK continuously since late 2011. got my ICT extended for 3 years in 2012.

My Queries are

1. Am I eligible for ICT tier 2 extension in 2015 ? will 5 year rule effect me ?
2. If I change my job now provided I have a sponsor to sponsor my Tier 2 General visa. Can he issue a CoS beyond 2015 ?

Tier 2 ICT - May 2009 to June 2012- my first entry July 2009. travelled for around 100 odd days in 2009&2010, travelled for around 150 days in 2011
C Visit- May 2011 to May 2013 - used 2 times for couple of weeks in 2011
Tier 2 ICT Extension June 2012 to June 2015- have been here most of the time
