Tier 2 ICT to Tier 2 General for £153,500 pa or above

Hi,
I am working for Employer A, under Tier 2 ICT that was applied after April 6 2011, later in the year 2011. If the gross compensation (base + bonus) is above £153,500, I have a few questions -
a. Will cooling off period of 12 months apply if I have to convert from Tier 2 ICT to Tier 2 General & if the gross compensation is £153,500 and above?
b. Can the same Employer A convert Tier 2 ICT to Tier 2 General?
c. Can a different employer in UK offer and sponsor Tier 2 General without cooling off period?
