Unavailable Passport and COS

I need some advice on this matter.

My last application was refused and home office retained my passport . I have now got a job offer but the employer said she is can't issue COS without seeing my original passport. Is there way around this? Anyone with similar experience?

Have you told your potential employer that you are an overstayer and do not have the legal right to remain / work in the UK?

I have, I have phoned the UKBA regarding this and was advised to go home and request my employer to issue me COS for me to make application outside UK. I have asked my employer if she will issue me the COS whiles I am out of the UK. Yet to hear from her.
I know the 12 months ban looms, but I will try my chances.
How is COS issued when one is outside th UK?

The same way as one is issued for someone intending to make an in-country application.

I would take the UKBA's advise if I were you IMHO
