Naturalization : Student Visa then Spouse Visa/ UK Referee

Hello 
I have few questions and I hope I can find the answers here.
I arrived to the UK on Student Visa in May 2011 then My I got married December 2011, My husband is British Citizen.
I got my ILR in January 2014 and want now to apply for the citizenship. I have read in another forum that Students Visa can count to the Naturalization qualifying period as it was a lawful stay , Is this True?
Regarding the Professional referees:
Do they have to be based in the UK ?
I know a British Engineer but he lives in Germany , is this acceptable ?
Can a British Retired Policeman be accepted as a referee?
I also know a Teacher but not a school teacher , an English teacher for non native speakers who has the ESOL certificate, Will she be acceptable as a referee ?
