Am i eligible for ILR?

Need quick help in understanding if am eligible for ILR. Bit of background!
First time I had applied for HSMP in november 2007, initial visa stamped for duration of 2 years from 1 Jan 2008-1 Jan 2010. I came to UK on 2nd feb 2008.
Applied for 1st extension in Nov 2009 and got 3 year extension till 1 Jan 2013.
I understand that i should apply for ILR in December 2012 but please advice on the below questions
Q1 - Since i enter UK after 32 days of stamping, please advice if i need another visa extension or i can go for ILR? I have not been outside UK for more than 60 days in total in last 4 years.
Q2 - My spouse is not working since started his own business as a director(not employed), will this effect his ILR application.
Please advice i am really confused
