Eligibility for ILR and qualifying period

I entered the UK on 22nd May 2008 (Entry clearance start date was 1st May 2008) on 2 year WP on Intra-company transfer. Then got 2 extensions under Tier 2 (ICT); one from May 2010 – April 2011 and second from May 2011-April 2013. My current leave expires on 5th May 2013.
Could somebody help me with following questions?
1) Am I eligible to apply for ILR?
2) As I have entered 22 days late from date of entry clearance, can I take the advantage of 90 day rule or have to apply for extension of another 22 days?
