Tier 2 General Fixed Term Contract

Hi,
I am being offered a tier 2 General sponsorship with a fixed term contract of 12 months with a day rate. The company expects me to have a limited company of my own with a UK business bank account.
The say that I cannot contract through an umbrella company as they are the sponsors and not any umbrella company, so the agreement has to be between this company and my limited company. Please let me know if you have any advice on this.
1. Can I legally open a limited company in UK whilst being on Tier-2 visa?
2. How will the contracting renumeration be paid out since according to Tier-2 rules I cannot be self employed.
