Tier 2 ICT and General Visa

I had been in UK from 2012 to 2013 on Tier 2 ICT short term visa and came back in Jul 2013. Now my 1 year cool-off is over and I am eligible for Tier 2 ICT as well as General Visa. My current company wants me to apply for ICT long term now, however I already have an offer from an UK company who is willing to sponsor my Tier 2 general visa (however that offer and negotiation is still under progress). Now I have 2 questions:

1) What if I get the ICT long term from my current company and travel for 2-3 weeks: Would I again have to serve the 1 yr cool off before getting eligible for Tier 2 general?

2) What if I get the ICT long term visa and do not travel at all, and then get the offer from the UK company and apply for tier 2 general visa? Is there a cool off period?
