Can Tier 2 applicant be a share director in limited company

Hi
My wife is a doctor and work for NHS under Tier 2 visa. She wants to do extra work (20 hours per week) as Locum. One of my friend told me if I open a limited company with the same category of my wife proficiency and give 25% share to my wife and also act as joint director ( i.e both of us register as director), she can transfer her Locum money to the company account. Because, the umbrella companies are deducting a lot from her salary and we may lose money.

Is this correct ?
May this make problem for us when we apply for ILR?
As per law share should have 10% or less but if the same company give her COS, (i.e. she can have share more than 10%), is it correct ?

Would you please advise?

Your wife can engage in supplementary employment up to 20 hours/week as a doctor without informing the HO. Whether she needs to inform her sponsor is only to do with her employment contract.
