I travelled to uk on tier 2 (partner) visa and came back in feb 2011 to join office. But my visa was valid till dec 2011. Now i have an oppurtunity to travel to uk on tier2 (ICT) visa in sept 2012. But with the cool off period of 12 month, please let me know if am i eligible to apply for my tier 2 visa???

The cooling of period doesn't apply to dependants. You must have a CoS though before applying for entry clearance.
