Eligibility for UK tier 2 ICT visa

Hi experts,

Please find below my query. I would appreciate quick response.

Scenario
1. I was in UK from Feb 2011 to August 2012 under Tier 2 (ICT) Long term staff.
2. Till August 2012 I was permanent employee of India branch of employer.
3. From September 2012, I am permanent employee of Australia branch of same employer.
4. I need to again apply for Tier 2 (ICT) long term visa.
Query
1. Is period of 12 months employment in same company achieved for this purpose as I am working for same organisation but in different country?
2. Do i need to fulfil 12 months cooling off period before applying Tier 2 (ICT) visa?
