Tier 2 ICT Short term to Long term

Hi,

I am currently on a employer sponsored Tier 2 ICT short term visa (1Yr).

Another top company is interested to offer me a permanent job in UK.

Based on my understanding of the rules I have couple of questions regarding this :
1) Will the 12 months cooling off period apply, if I have shift from ICT to General, will this apply even if there is a proof of shortage from RLMT ?

2)Can I Join the new company in India and apply for a Tier 2 Long term Visa ?

3)Can I come back to UK through exisiting employers ICT Long term visa ? Is it possible to change employers with this ?
