Tier 2 Cooling off Period Query

I came back from UK in first week of December 2012. I was on Tier 2 ICT long term visa.
Now my wife has gone to UK on Tier 2 ICT short term visa, she is getting my dependent visa done for me to come over.
I am planning to quit my job and go to UK by Mid-October 2013.
My question is

1] If i get a job and the company is fine to sponsor me for Tier 2 General, does my cooling off period will be still from Dec 2012?

2] If i get a job and i continue working as ICT Short term-Dependent for few months [ which is less than 6 months], does my company has to the Resident Labour test?
[ As the COS can be granted within 6 months of display of job opportunity for 28 days which qualifies Resident labour test ]

Just want to check my options, before i resign and go for the life gamble :)

as a PBS dependant you are allowed to work without restrictions (unless you are a doctor or dentist in training) and a RLMT is not needed.

At the end of the cooling-off period in Dec 2013, and provided you have a restricted CoS, you can apply for T2G leave from your home country.

Regarding the 2nd question.

If i get a job while i am on dependent visa. Then after working for few months, my company agrees to apply for tier 2 general. Do they need to go for labour test before giving me a visa?

yes, they have to do a RLMT before they can assign a CoS to you (unless an exemption applies)
