Resignation from a company

I have a Tier 1 VISA of a security Company have two share holders. I just want to ask if I resign from the directorship of this company and then start a new company of my own then Is there any negative impact on my extension application which I will make after 2 years. If not then can I use the progress of this company from which I have resigned in my extension application.

Please also note might be my co director also resign from this company and form another company by giving this excising company to one of his friend.

There should be no issues with that.

You can only use the investment, job creation, etc. for the period which you were a Director of the first company. So, just make sure you have all the documents that you need before you quit as you may not have access to it once you are no longer the Director.
